Terms of Service

Welcome to SpotLoop™. These Terms of Service ("Terms") govern your use of the SpotLoop website, mobile application, and related services (collectively, the "Platform") operated by SpotLoop Inc. ("SpotLoop", "we", "us", or "our"). By creating an account or using the Platform you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. SpotLoop Is a Marketplace — Not a Parking Operator

SpotLoop is a technology platform that connects independent parking space owners ("Hosts") with individuals seeking parking ("Renters"). SpotLoop is not a parking operator, garage operator, or parking service provider. We do not own, manage, control, or inspect any parking space listed on the Platform.

All parking transactions are agreements directly between the Host and the Renter. SpotLoop facilitates those transactions but is not a party to them. SpotLoop is not responsible for the condition, safety, legality, or availability of any listed space.

2. Eligibility

You must be at least 18 years of age and legally capable of entering into binding contracts to use the Platform. By using the Platform, you represent and warrant that you meet these requirements.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify SpotLoop immediately at legal@spotloop.ca of any unauthorized use of your account.

SpotLoop reserves the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a risk to other users or the Platform.

4. Host Responsibilities

By listing a parking space on SpotLoop, you represent, warrant, and agree that:

  • Legal right to list. You own the parking space or have explicit written permission from the owner to rent it to third parties.
  • Zoning and bylaw compliance. You have verified with your local municipality, strata corporation, homeowners' association, or other governing body that renting your parking space is permitted. SpotLoop does not verify compliance with local bylaws and is not responsible for any fines, orders, or penalties you may incur.
  • Insurance. You acknowledge that standard home, tenant, or auto insurance policies typically exclude coverage for commercial activities. You are solely responsible for obtaining adequate insurance — including any commercial liability, property, or home-sharing endorsement — to cover injuries, property damage, theft, or other losses that may occur in connection with renting your parking space. SpotLoop does not provide insurance to Hosts and is not liable for any uninsured losses.
  • Safe condition. The parking space is safe, accessible, and accurately described in the listing, including its dimensions, any height restrictions, surface conditions, and access instructions.
  • Accurate listing. All information in your listing, including pricing, availability, photos, and amenities (e.g. EV charger, security camera, covered), is accurate and kept up to date.
  • Tax obligations. You are responsible for determining and fulfilling any applicable tax obligations arising from rental income, including income tax, HST/GST (Canada), or sales tax (USA).

5. Renter Responsibilities

By booking a parking space on SpotLoop, you represent, warrant, and agree that:

  • You will use the parking space only during the booked time and only for the vehicle type described in your booking.
  • You will comply with all access instructions provided by the Host.
  • You will not sublet or allow third parties to use the parking space.
  • You will leave the space in the same condition you found it. You are liable for any damage caused by you or your vehicle to the parking space or surrounding property.
  • Your vehicle is covered by your own auto insurance policy. SpotLoop does not insure vehicles parked on the Platform.

6. Payments, Fees, and Refunds

SpotLoop collects payment from Renters at the time of booking. Payouts to Hosts are made after the booking is confirmed, minus SpotLoop's service fee. The service fee is displayed at checkout and is subject to change with notice.

Cancellation and refund policies are set at the listing level by the Host. SpotLoop will honour the policy displayed at the time of booking. In the event of a dispute, SpotLoop's decision is final.

7. Prohibited Uses

You may not use the Platform to:

  • List or book a parking space you do not have the legal right to use.
  • Engage in fraudulent, deceptive, or misleading conduct.
  • Store hazardous materials, illegal goods, or anything that violates applicable law.
  • Conduct any activity that violates the rights of third parties.
  • Interfere with the operation of the Platform or circumvent security features.

8. Limitation of Liability

To the maximum extent permitted by applicable law, SpotLoop, its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, property damage, personal injury, or theft, arising out of or in connection with your use of the Platform or any parking transaction, even if SpotLoop has been advised of the possibility of such damages.

SpotLoop's total liability to you for any claim arising from or related to these Terms or the Platform shall not exceed the greater of (a) the amount you paid SpotLoop in the three months preceding the claim, or (b) CAD $100 / USD $100.

9. Indemnification

You agree to indemnify and hold harmless SpotLoop and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Platform, your listings or bookings, your violation of these Terms, or your violation of any applicable law or third-party right.

10. Intellectual Property

SpotLoop™ and all associated logos, product names, and service names are trademarks of SpotLoop Inc. Nothing in these Terms grants you any right to use SpotLoop's trademarks without prior written permission.

By submitting listing content (photos, descriptions) to the Platform, you grant SpotLoop a non-exclusive, royalty-free, worldwide licence to use, display, and distribute that content solely for the purpose of operating and promoting the Platform.

11. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform you consent to the collection and use of your information as described in the Privacy Policy.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. For users in the United States, disputes arising from transactions in your state may also be subject to applicable state law.

Any dispute arising from these Terms shall first be submitted to good-faith negotiation. If not resolved within 30 days, disputes shall be resolved by binding arbitration in Toronto, Ontario, Canada, under the rules of ADR Chambers, except that either party may seek injunctive relief in any court of competent jurisdiction.

13. Changes to These Terms

SpotLoop reserves the right to modify these Terms at any time. We will provide at least 14 days' notice of material changes by email or by posting a notice on the Platform. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
